These Terms of Service ("Terms") govern your access to and use of the services provided by Northbound ("Northbound", "we", "us", or "our") at northbound.run. By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
By accessing or using our services, you represent that you are at least 13 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Northbound provides software services that connect to your email and calendar accounts to assist with scheduling, productivity, and AI-assisted features. As part of these services, Northbound may process the content of your emails and calendar events to improve user-facing features within the app, including AI-assisted scheduling, email management, and productivity tools.
Northbound requests only the minimum permissions necessary to provide these features. Where Northbound requests write access to Gmail or Google Calendar, that access is used solely to act on your behalf when you explicitly confirm an action — emails are only sent or modified when you explicitly confirm, and calendar events are only created or modified when you explicitly confirm. We do not make changes to your email or calendar without your direct instruction.
The specific features available to you depend on your subscription tier and may change over time.
You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate and current information when creating your account and to notify us promptly at hello@northbound.run if you suspect unauthorized access to your account.
You are responsible for all activity that occurs under your account. You must not share your credentials with third parties or allow others to access your account.
You retain full ownership of all data you provide to Northbound, including the content of your emails, calendar events, and any other information you make available through our services. These Terms do not transfer ownership of your data to Northbound. You may request a copy of your data or request deletion of your data at any time as described in Section 10.
By using our services, you grant Northbound a limited, non-exclusive, worldwide, royalty-free license to access, process, copy, and use your data solely for the following purposes:
This license does not permit Northbound to use your Google API data for general-purpose AI model training, advertising, or any purpose unrelated to providing the Northbound service. It does not permit Northbound to sell your data to third parties. The license terminates when you delete your data or close your account, subject to retention requirements described in our Privacy Policy.
You may opt out of feature-improvement data processing while retaining access to core service functionality by contacting us at hello@northbound.run. We will make reasonable efforts to accommodate such requests.
You agree not to use the services to:
All rights, title, and interest in and to the Northbound platform, software, trademarks, logos, and service content (excluding your data) are and remain the exclusive property of Northbound. These Terms do not grant you any right to use Northbound's name, logo, or other intellectual property except as expressly permitted in writing.
Any feedback, suggestions, or ideas you submit regarding the services may be used by Northbound without restriction or compensation to you.
Our services integrate with third-party platforms including email and calendar providers. Your use of those platforms is subject to their respective terms of service and privacy policies. Northbound is not responsible for the practices or content of third-party services.
Northbound's access to and use of data obtained through Google APIs is subject to the Google API Services User Data Policy, including the Limited Use requirements. Google API data is used only to provide and improve user-facing features within Northbound and for no other purpose. In the event of any conflict between these Terms and the Google API Services User Data Policy, the Google API Services User Data Policy takes precedence with respect to Google API data.
To the maximum extent permitted by applicable law, Northbound and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the services, even if Northbound has been advised of the possibility of such damages.
Northbound's total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to Northbound in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or gross negligence.
You may terminate your account at any time by contacting us at hello@northbound.run or through the account settings. Upon termination, you may request deletion of your data. We will process deletion requests within 30 days, subject to any legal obligations requiring us to retain certain information.
We reserve the right to suspend or terminate your access to the services at any time if you breach these Terms or if we are required to do so by law, with or without notice.
The services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Northbound does not warrant that the services will be uninterrupted, error-free, or free of harmful components.
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in British Columbia, Canada for the resolution of any dispute arising out of these Terms or your use of the services.
We may update these Terms from time to time. When we make material changes, we will notify you by email or by displaying a prominent notice within the services. Your continued use of the services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the services and may request deletion of your account.
